Terms of Service

Comply AI is an AI-powered compliance and communications analysis platform designed to assist financial institutions and regulated entities with:

• Reviewing client communications
• Identifying potential compliance risks
• Checking documents, messages, marketing content, and other materials against regulatory requirements
• Providing AI-powered insights, recommendations, and analysis

Comply AI is not a law firm, does not provide legal advice, and does not replace qualified compliance professionals. All outputs must be reviewed by an appropriately authorised individual before acting on them.

To use the Service, you must:

• Be at least 18 years old
• Have the legal authority to enter into binding agreements
• Be acting on behalf of a business entity (Financial Firms, Asset Managers, Brokers, Advisors, etc.) or as an individual user

We reserve the right to decline or terminate accounts at our discretion.

When you create an account:

• You must provide accurate and complete information
• You are responsible for maintaining the confidentiality of your login credentials
• You are responsible for all activity that occurs under your account

Misuse, attempted breaches, or unauthorised access may result in immediate suspension.

4.1 Free trial

Upon signup, new users receive a free trial period with free credits. The trial is limited to one per user or organisation.

4.2 Voucher codes

Voucher codes may grant an additional month of individual-tier access with 100 credits. Each voucher code may be used once per user and cannot be transferred.

4.3 Subscription tiers

Comply AI offers four subscription tiers, each with defined allowances, usage rights, and credit limits. Upgrades and add-on credits can be purchased at any time.

4.4 Auto-renewal

Subscriptions renew automatically unless cancelled prior to the renewal date.

4.5 Cancellation

You may cancel at any time. No refunds are given for partial usage.

By using the Service, you agree to:

• Ensure all uploaded content complies with applicable laws and regulatory obligations
• Not upload harmful, unlawful, offensive, or infringing material
• Not reverse-engineer, reproduce, or resell the Service
• Evaluate all AI-generated outputs before using them in a real-world or regulatory context
• Not use Comply AI for prohibited or malicious activities

All intellectual property relating to Comply AI—software, models, UI/UX, branding, text, analytics, code, and infrastructure—remains owned by Comply AI Ltd. You are granted a limited, non-exclusive, non-transferable license to use the Service for your internal business operations only.

7.1 User content

You retain all rights to the documents, text, data, communications, and content you upload ("User Content").

7.2 Our use of user content

You grant us a limited license to process User Content for analysis, store it securely for the duration of your usage, and use anonymised and aggregated data to improve model performance and platform functionality. We do not use client-specific content to train public AI models or disclose it to third parties.

7.3 Data deletion

Users may request deletion of their data at any time. All data is automatically purged after account closure, subject to legal and regulatory retention requirements.

Comply AI provides automated analysis and recommendations based on machine learning, compliance frameworks, and regulatory data. It is a decision-support tool, not a decision-making tool. We do not warrant that outputs will be error-free, fully compliant, sufficient for regulatory defence, or definitive interpretations of FCA, SEC, ESMA, or other regulatory rules. You remain solely responsible for final compliance decisions.

We aim for high platform availability and resilience but do not guarantee perfect uptime, uninterrupted access, error-free performance, or real-time updates to regulatory content. We may modify, suspend, or discontinue any part of the Service at any time.

To the maximum extent permitted by law:

• We shall not be liable for indirect, incidental, consequential, or punitive damages
• Our total liability shall not exceed the fees paid by you in the preceding 12 months
• We are not liable for regulatory fines, losses, misinterpretations, or actions taken based on AI outputs

You acknowledge that using AI carries inherent uncertainties.

We may suspend or terminate your account if you violate these Terms, misuse the platform, or fail to pay fees. Upon termination, access ends immediately and stored content may be deleted.

These Terms are governed by the laws of England and Wales, without regard to conflict of law principles. Any disputes will be handled in the courts of London, UK.
